فعالية فتح رأس مال المؤسسة الاقتصادية ودوره في تحسين الأداء المالي

Abstract

تهدف هذه الدراسة إلى تحليل أثر أسلوب فتح رأس مال المؤسسة على أدائها المالي ،و قد تم اعتماد أسلوبين من أساليب فتح رأس المال من خلال تحليل الأداء قبل و بعد العملية للخروج بأهم التغيرات ،كما تناولت الدراسة في فصلين نظريين لمختلف الأدبيات المتعلقة بالموضوع أين تناولنا مختلف النظريات المتعلقة بهيكل رأس المال و آليات تمويل المؤسسة عن طريق فتح رأس المال و مختلف التكاليف المرتبطة بذلك و كذا مختلف القرارات المالية و تأثيرها على الأداء المالي في ظل عملية احترام مبادئ الحوكمة . في حين خص الجانب التطبيقي لعرض في شكل فصلين خصص الأول للشراكة و الثاني لفتح رأس المال عن طريق الاكتتاب العام في بورصة الجزائر و أثرهما على أداء المؤسستين مجال الدراسة ،بتحليل مختلف مؤشرات الأداء المالي قبل و بعد العملية .This study aims to analyze the impact of opening up a company's capital on its financial performance. Two methods of opening up capital were employed, and performance was analyzed both before and after the transaction to identify the most significant changes. The study comprises two theoretical chapters that review relevant literature and examine various theories regarding capital structure, corporate financing mechanisms through capital opening, associated costs, and the impact of different financial decisions on performance—all within the framework of good governance principles.

The applied section, also presented in two chapters, focuses on partnerships and capital opening via Initial Public Offerings (IPOs) on the Algiers Stock Exchange, analyzing their impact on the performance of the two companies studied. This section includes an analysis of various financial performance indicators before and after the transaction. The study recommends reconsidering privatization policy by basing decisions on a preliminary feasibility study.
