أثر مجلس الإدارة وملمح المديرين على الأداء المالي للمؤسسات في الجزائر

Abstract

يهدف هذا البحث إلى تشخيص دور مجلس الإدارة وملامح المديرين في اتخاذ وترشيد القرارات المالية الاستراتيجية وتأثيرها على الأداء المالي للمؤسسات في الجزائر. بناءً على الهدف الرئيسي، يتضح أن موضوع البحث يتركز حول مهام ومسؤوليات مجلس الإدارة الفعال، ودور ملامح المديرين من خلال خبراتهم ومهاراتهم ومؤهلاتهم في ترشيد القرارات المالية للمؤسسة، التي بدورها تؤثر على الأداء المالي. وبالاستعانة بالمنهجين الوصفي والتحليلي، قمنا بدراسة تناولنا فيها، في الجانب النظري، أهم المفاهيم المتعلقة بأسس الإدارة المالية ونظرياتها، وحوكمة المؤسسات مع التركيز على مجلس الإدارة الفعال: مهامه ومسؤولياته ومتطلباته، ودوره في الحوكمة وترشيد وتسيير مختلف القرارات المالية الاستراتيجية في المؤسسة، مثل قرارات الاستثمار والتمويل وتوزيع الأرباح. Cette recherche vise à analyser le rôle du Conseil d’administration et le profil des dirigeants dans la prise et la rationalisation des décisions financières stratégiques, ainsi que leur impact sur la performance financière des entreprises en Algérie. Sur la base de cet objectif principal, il apparaît clairement que le sujet porte sur les tâches et responsabilités d’un Conseil d’administration efficace, ainsi que sur le rôle du profil des dirigeants, notamment à travers leur expérience, leurs compétences et leurs qualifications, dans l’orientation des décisions financières de l’entreprise, qui influencent à leur tour la performance financière.This research aims to examine the role of the Board of Directors and the profile of managers in the formulation and rationalization of strategic financial decisions, as well as their impact on the financial performance of institutions in Algeria. Based on this primary objective, it is clear that the study focuses on the tasks and responsibilities of an effective Board of Directors and the role of managers’ profiles—through their experience, skills, and qualifications—in guiding the institution’s financial decisions, which in turn influence financial performance.
